Ministry of Corporate Affairs (MCA) is the cabinet ministry under the Government of India. Its prime concern is with respect to administration of Companies Act, 1956, Companies Act, 2013, Limited Liability Partnership Act, 2008 and several other Acts, rules and regulations framed to regulate the functioning of corporate sector. It also administers the Competition Act, 2002 so as to prevent practices involving adverse effect on competition and to protect intersets of the consumers through Competition Commission of India which is set up under the said Act. It exercises supervisory control over 3 professional bodies; Institute of Chartered Accountants of India, Institute of Cost Accountants of India and Institute of Company Secretaries of India. All these institutions are constituted under 3 different Acts of the Parliament. The MCA website allows to upload various documents and forms required for Companies' incorporation and Limited Liability Partnerships. It offers a platform for the users to raise complaints in respect to MCA services. At present the Ministry of Corporate Affairs is headed by Mr. Arun Jaitley.

Registrar of Companies

Registrar of Companies (ROC) is administered by the Ministry of Corporate Affairs. ROC is a post created under Section 609 of the Companies Act, 1956 whereby it has to be appointed for the purpose of registering companies and LLPs in different States and Union Territories and to ensure that such entities comply with all the statutory requirements under the statute. It functions as registry of records of the registered companies available for inspection by anyone on payment of prescribed fee. There are 7 Regional Directors with supervisory control over the functioning of ROCs within their regions.

National Company Law Tribunal

The Indian Government has constituted the National Company Law Tribunal (NCLT) under the Companies Act, 2013. It provides for a single judicial forum which adjudicates disputes related to affairs of the companies in India. It came into effect from 1 June 2016.

In the first phase, the Ministry has set up eleven benches of the Tribunal, i.e. principal bench at New Delhi and regional benches at Ahmedabad, Allahabad, Bengaluru, Chandigarh, Chennai, Guahati, Hyderabad, Kolkata, Mumbai and New Delhi. The benches are headed by the President and 16 judicial and 9 technical members.

National Company Law Appellate Tribunal

The appellate powers against the orders of the National Company Law Tribunal are with the National Company Law Appellate Tribunal. NCLAT has been establishment under the Companies Act, 2013.

It exercises its powers in proceedings initiated before Company Law Board, proceedings relating to the claims of oppression and mismanagement, winding up of companies etc. The decisions of NCLAT can only be challenged in appeal before the Supreme Court.

Serious Fraud Investigation Office

The Ministry is the parent agency, which administers the Serious Fraud Investigation Office (SFIO). The Serious Fraud Investigation office, co-ordinates with the CBI and the Income Tax Department, to inquire into various issues, relating to major frauds in the corporate sector. There are several experts from various sectors.

SFIO has the power to investigate into matters of a company when assigned by the Central Government. Director of SFIO has the authority to designate inspectors for investigation under Section 217 of the Companies Act, 2013. SFIO also has the power to arrest the accused when authorised by the Central Government.
